Terms of Service

1. Acceptance of Terms
By accessing or using the MeasureBoard service at measureboard.com(the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including visitors, registered users, and paying subscribers.
2. Description of Service
MeasureBoard provides analytics reporting, SEO analysis, AI-powered insights, uptime monitoring, and related tools that connect to third-party data sources - including Google Analytics, Google Search Console, Shopify, and others - with your authorization. We collect, store, and process your data to deliver reports, alerts, recommendations, and insights as described in our Privacy Policy.
3. Eligibility and Account Registration
You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
4. Subscriptions and Payment
Certain features of the Service require a paid subscription. Subscription fees are charged in advance on a recurring basis (weekly or monthly) as selected at signup. All fees are non-refundable except as required by applicable law. We reserve the right to change subscription pricing with 30 days' notice to active subscribers. Continued use after a price change constitutes acceptance of the new pricing.
Failure to pay may result in suspension or termination of your account. You are responsible for all applicable taxes.
Account limits, including but not limited to the number of properties, API query quotas, data retention periods, report frequency, AI Analyst question limits, keyword research lookups, and feature availability per plan tier, are subject to change at any time at our sole discretion. We will make reasonable efforts to notify active subscribers of material changes to plan limits. Free tier limits may be adjusted without prior notice.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Connect Google Analytics properties you do not own or are not authorized to access.
- Attempt to reverse-engineer, decompile, or extract proprietary components of the Service.
- Use automated tools to scrape, crawl, or excessively query the Service.
- Introduce malicious code, interfere with, or disrupt the integrity of the Service.
- Resell, sublicense, or commercially exploit the Service without our written consent.
6. Data and Intellectual Property
6.1 Your Data
You retain ownership of your Google Analytics data and any content you submit to the Service. By connecting your GA4 properties, you grant MeasureBoard a worldwide, royalty-free license to access, store, process, and use that data to: (a) provide the Service to you; (b) improve, develop, and train features of the Service using aggregated and de-identified data; and (c) generate reports, summaries, and insights on your behalf. This license terminates when you delete your account, except for data retained for legal compliance purposes or already incorporated into anonymised aggregate datasets.
6.2 Our Intellectual Property
The Service, including its software, design, trademarks, and content (excluding your data), is owned by MeasureBoard and protected by intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property except the limited right to use the Service as described here.
7. Third-Party Services
The Service integrates with Google Analytics, Google Search Console, Google PageSpeed Insights, Shopify, and payment processors (Stripe). Your use of those third-party services is subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or completeness of data provided by third-party services.
Third-party service outages, API changes, or data delays may temporarily affect features of MeasureBoard. We will make reasonable efforts to adapt to such changes but do not guarantee uninterrupted integration with any third-party service.
8. AI-Generated Content and Insights
Certain features of the Service use artificial intelligence (AI) to generate reports, insights, recommendations, and other content. These AI-generated outputs are produced by third-party AI models and are intended to assist your decision-making, not replace professional judgment.
AI-generated content may contain inaccuracies, omissions, or outdated information. While we strive for quality, we do not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated output. You are solely responsible for reviewing, validating, and evaluating any data, insights, recommendations, or content produced by the Service before acting on it.
AI features include, but are not limited to: report insights, action plan recommendations, search performance analysis, content health analysis, backlink recommendations, competitor intelligence, GEO optimization scoring and recommendations, AI rank tracking, brand sentiment analysis, keyword research, and the AI Query Explorer. The outputs of these features should be treated as informational starting points, not definitive conclusions.
9. Data Accuracy and User Responsibility
MeasureBoard surfaces data from your connected accounts (Google Analytics, Search Console, Shopify, and others) and applies calculations, aggregations, and AI analysis to present actionable information. While we make our best effort to surface accurate and timely data, the accuracy of information displayed in the Service depends on factors outside our control, including the quality and availability of source data from third-party platforms.
You acknowledge and agree that:
- Analytics data may have inherent delays, sampling limitations, or discrepancies between platforms.
- Search rankings, traffic estimates, keyword metrics, and competitive data are approximations and may differ from actual values.
- Uptime monitoring reflects checks performed at defined intervals and may not capture every brief outage or fluctuation.
- Site audit and crawl results are based on publicly accessible pages at the time of the crawl and may not reflect dynamic, authenticated, or JavaScript-rendered content.
- You hold sole responsibility for verifying the accuracy of any data, insights, or recommendations before making business decisions based on them.
10. Actions and Automation
While the majority of MeasureBoard's features are read-only and do not modify your connected accounts, certain features involve automated actions such as sending email reports, generating content recommendations, or providing predrafted social media responses. Any decisions to act on recommendations, implement changes to your website, modify your marketing strategy, or engage on social platforms based on information from the Service are made at your own discretion and risk.
MeasureBoard is not responsible for any direct, indirect, or consequential outcomes resulting from actions you take based on data, insights, or recommendations provided by the Service. This includes, but is not limited to, changes in search rankings, traffic, revenue, or business performance.
11. Data Retention and Backups
We retain your analytics data for the duration of your account. You may delete your account and all associated data at any time from account settings. Upon account deletion, your data is permanently removed and cannot be recovered.
While we maintain regular backups of our systems, MeasureBoard is not a data backup or archival service. We recommend that you independently maintain copies of any data or configurations that are important to your business. We are not responsible for data loss resulting from system failures, account deletion, service discontinuation, or events beyond our reasonable control.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. ALL DATA, ANALYTICS, AI-GENERATED INSIGHTS, RECOMMENDATIONS, REPORTS, AND OTHER OUTPUTS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE PROFESSIONAL SEO, MARKETING, BUSINESS, LEGAL, OR FINANCIAL ADVICE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEASUREBOARD AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In no event shall our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service exceed the greater of (a) the total fees paid by you to MeasureBoard in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).
14. Indemnification
You agree to indemnify, defend, and hold harmless MeasureBoard and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
15. Dispute Resolution and Binding Arbitration
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.
15.1 Informal Resolution
Before initiating any formal dispute, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.
15.2 Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service - including questions about the existence, validity, or termination of these Terms - shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms. The arbitration shall be conducted in Austin, Texas, or remotely if the parties agree. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
15.3 Class Action Waiver
You and MeasureBoard each waive the right to participate in a class action lawsuit or class-wide arbitration. All disputes must be brought in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
15.4 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or unauthorized use of confidential information.
15.5 Opt-Out
You may opt out of the arbitration agreement by sending written notice to [email protected] within 30 days of first accepting these Terms. Opting out does not affect any other provision of these Terms.
16. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. For any matters not subject to arbitration under Section 15, you consent to exclusive jurisdiction and venue in the state and federal courts located in Travis County, Austin, Texas.
17. Termination
We may suspend or terminate your account at any time for violation of these Terms, non-payment, or at our sole discretion with reasonable notice. You may cancel your account at any time from account settings. Upon termination, your right to use the Service ceases immediately. Sections 8–16 survive termination.
18. Modifications to Terms
We may update these Terms at any time. We will notify you of material changes by email or by posting a notice in the Service. Continued use of the Service after the effective date of revised Terms constitutes your acceptance.
19. Miscellaneous
These Terms, together with the Privacy Policy, constitute the entire agreement between you and MeasureBoard regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any right or provision does not constitute a waiver. You may not assign your rights under these Terms without our consent. We may assign our rights freely.
